GMINGO PARTNER NETWORK AGREEMENT (Version 1.0)
This document is an operational draft for the Gmingo Partner Network. It must be reviewed by Nigerian legal counsel before it is treated as a binding contract.
1. Nature of relationship
You participate as an independent Gmingo Partner. This Network is not employment, and it does not create an agency, joint venture, or employment relationship unless a separate written contract says otherwise.
2. What partners do
Approved partners may introduce potential clients to Gmingo Tech Solution by submitting referrals and sharing a personal referral link.
3. Approval
Submitting an application does not guarantee approval. Gmingo may approve, request more information, reject, suspend, or deactivate a partner account according to its policies.
4. Referrals and attribution
Referral submission does not create a client relationship by itself. Gmingo qualifies opportunities. Duplicate or conflicting referrals may be held for review. Gmingo does not automatically reassign an existing opportunity.
5. Commissions
Commission is earned only on eligible revenue actually received by Gmingo, according to the then-current commission rules and this agreement. Submitting a referral does not create withdrawable money. Potential commission shown in the dashboard is an estimate, not a guarantee.
6. Clearing and availability
Commission may remain pending until configured clearing conditions are satisfied. Available commission is the only amount that may be withdrawn.
7. Withdrawals
Withdrawals are subject to a configured minimum, payout-account verification, and Gmingo finance processing. Gmingo does not guarantee a specific payout time.
8. Confidentiality
Partners must not disclose confidential client, pricing, or internal Gmingo information. The dashboard shows only partner-appropriate updates.
9. Conduct
Partners must not misrepresent Gmingo, promise guaranteed income, guarantee project outcomes, or submit false or self-serving referrals.
10. No guaranteed income
Gmingo does not promise income, project volume, approval, or withdrawal speed.
11. Status and records
Suspension or deactivation may restrict new referrals and withdrawals. Financial history is retained.
12. Changes
Gmingo may update commission rules and this agreement. Material updates may require renewed acceptance before continued participation.
This draft is provided so partners can understand the intended operating model. Formal legal effect is subject to counsel review and Gmingo’s issued agreement version.
